His practice focuses on representing Chilean and foreign clients on the acquisition and sale of public and private companies, mergers, private equity and venture capital transactions, capital markets and corporate and commercial matters in general.
He previously worked as a member of Carey's Energy Group and his practiced focused on the development of renewable energy projects and natural resources transactions.
REPRESENTATIVE EXPERIENCE
- Alfa Transmisora de Energía, a subsidiary of APG Energy & Infra Investments and Celeo Redes on the issuance of a bond in the national market for up to approx. USD186 million. Also, the latter on the acquisition of 100% of Colbún Transmisión for approx. USD1.3 billion, including the financing through the issuance and placement in the international markets of a 144A/Reg. S senior bond for approx. USD1.1 billion. Additionally, on the acquisition and financing of 100% of Transmisora Eléctrica de Quillota, a joint venture of Colbún and Enel for approx. USD31 million.
- Falabella on the structuring and negotiation with its subsidiary Plaza for the consolidation of the latter of certain mall-type real estate assets in Peru. The transaction will be carried out through a tender offer in Peru for which, previously, Plaza will carry out a capital increase in Chile to obtain market financing. Additionally, on the issuance of bonds in the international market for USD650 million under Rule 144A/Reg S, and on a concurrent bonds tender offer for its senior notes due 2023 and 2025 using the proceeds of the debt offering. Also, on the sale of Viajes Falabella to Despegar.com in Chile, Colombia, Perú and Argentina for USD27 million, including a long-term commercial alliance, the promotion and incentive of the financial products and loyalty program.
- CAP on an investment of approx. USD32 million to acquire 20% of REE Uno, a Chilean company owned by the Canadian Aclara Resources, which is developing a project to exploit rare earths from ionic sands in the Biobío Region.
- Mainstream Renewable Power on the implementation of the financial restructuring of its portfolios of 10 non-conventional renewable energy projects "Huemul" (630MW), "Cóndor" (591 MW) and "Copihue" (148.5 MW), under a project finance structure with several bank syndicates and the renegotiation of a mezzanine financing, as part of the Chilean reorganization processes initiated by Cóndor Energía and Huemul Energía, and under the Chapter 11 process initiated in the United States against certain affiliates of MRP by one of its creditors, for USD1.6 billion.
- Andes Mining & Energy Corporate (AME) on the indirect sale of part of its stake in Generadora Metropolitana to Fondo de Inversión CMB-LV Infraestructura III. The advice included a shareholders' agreement to regulate, among other matters, eventual increases in the participation of CMB.
- IFC and Calverton on the negotiation of an amendment to the existing Put Option Agreement among them and the controlling shareholders of Consorcio Financiero and the sale of 50% of IFC's and Calverton's shareholdings in Consorcio Financiero.
- Credicorp Capital, through a USD27 million investment fund, on a joint venture with Maestra to develop residential real estate projects in Santiago.
- Teck Resources and its subsidiary Teck Resources Chile on a joint venture with Sumitomo for the acquisition of 30% of Compañía Minera Quebrada Blanca for USD1.2 billion, for the development and construction of Quebrada Blanca Phase II project.
