Her profesional practice is focused on the development of energy projects, including negotiation of energy supply and transportation contracts, and natural resources transactions, as well as on corporate and commercial law matters.
REPRESENTATIVE EXPERIENCE
- Renewable Resources Group on the sale of its investment platforms in renewable energy generation in Chile, totaling an aggregate installed capacity of 97 MW, to BlackRock GRP III. Additionally, on the sale of Solar E to BlackRock, a portfolio consisting of seven operating photovoltaic PMGD (small distributed generation means) projects, located in different regions of Chile. The advice included the negotiation and drafting of the relevant documents of the transaction.
- ISA, a Colombian company dedicated to the transmission infrastructure business, on regulatory matters regarding a public tender for approx. USD200 million, for the construction and exploitation of transmission facilities in Chile, including the drafting, reviewing and submission of the documents.
- Frutura, a US-based sales and marketing network of fresh fruits spanning assets in the US, Peru and Uruguay, on the acquisition of Subsole, one of Chile's largest fresh fruit companies and leading exporter, specially of table grapes.
- OPDEnergy on the "Supply Tender 2021/01" bidding process, and the successful awarding of 819 GWh/year to supply energy to several distribution companies.
- Celeo Redes and APG Energy & Infra Investments on the acquisition of 100% of Colbún Transmisión, a Colbún subsidiary and one of the largest transmission companies in Chile for approx. USD1.3 billion. With this acquisition, Celeo Redes increases significantly its transmission assets under operation and maintenance in Chile.
- Sonnedix, a global solar Independent Power Producer (IPP), on the acquisition of the ARCO renewable energy portfolio, which is comprised by “El Arrayán” operating wind farm, its expansion under development “Carica”; “Conejo” operating photovoltaic power plant, its expansion under development “Librillo”; 13 small distributed generation projects (PMGDs) under operation; “Don Goyo” substation; and a battery energy storage system (BESS), with an aggregate installed capacity of approx. 500 MW, located in different regions of Chile. The transaction also included the mandatory merger control procedure before the National Economic Prosecutor's Office (FNE), which was approved by the FNE without remedies in Phase 1.
- Corporación Interamericana para el Financiamiento de Infraestructura (CIFI) on a credit facility agreement and ancillary documents, under Chilean law, with Enerside Solar Chile I for up to USD10.31 million for the development and construction of a PMGD portfolio of photovoltaic solar energy generation projects in Chile. Also, on another tranche for approx. USD2.3 million to finance the associated VAT.
