REPRESENTATIVE EXPERIENCE
- BNP Paribas Securities, BofA Securities y HSBC Securities (USA), as dealers, on the issuance of AT1 bonds by Banco de Crédito e Inversiones (BCI), under Rule 144A/Reg S, at a 8.75% annual rate, for USD500 million, under its Medium Term Notes (MTN) issuance program for up to USD6 billion. The bonds will be listed on the Luxembourg Stock Exchange and traded on the Euro MTF market.
- HSBC, Citigroup, J.P. Morgan, BNP Paribas, BoFA Securities, Crédit Agricole, and Goldman Sachs, as initial purchasers, on Banco del Estado de Chile's Rule 144A/Reg S offering of its USD600 million, 7.95% perpetual notes.
- BofA Securities, J.P. Morgan Securities and Santander US Capital Markets, as initial purchasers, on the issuance and placement of Cencosud's USD650 million 5.950% senior notes under Rule 144A / Reg S of the US Securities Act, due 2031. The funds will be used by Cencosud to pay in full its 2025 senior notes and refinance other indebtedness for USD175 million, improving the company's maturity profile.
- Grenergy Renovables on a USD345 million financing for phases 1 and 2 of the Oasis de Atacama project, under a project finance structure, for the construction and operation of a 220 MWp photovoltaic solar energy project and a 1.24GWh battery storage project (BESS), making it the largest storage project in the world. The financing was provided by BNP Paribas, Natixis Corporate & Investment Banking, Société Générale, The Bank of Nova Scotia and Sumitomo Mitsui Banking Corporation, and included the repayment of a local loan granted to Grenergy.
- Transelec, through its affiliate Transelec Concesiones, on its first project finance transaction for up to USD375 million for the construction, operation and maintenance of four transmission lines and their related facilities, including substations, awarded to Transelec as part of the expansion of Chile's trunk energy transmission system. The financing was provided by Export Development Canada, KfW Ipex-Bank and MUFG Bank, and the latter acted as Administrative Agent.
- CCAF Los Héroes on the incorporation of a non-banking prepaid card issuer company, named Sociedad Emisora de Tarjetas de Pago Los Héroes, in accordance with the provisions set forth in Law 20,950, including the request for the relevant authorization, which was granted by the Superintendence of Banks and Financial Institutions.
- Sumitomo Mitsui Banking Corporation, Mizuho Bank and Banco Santander-Chile on the financing for up to USD126 million for the acquisition of GasValpo, a Chilean gas distribution company, by a joint venture between Marubeni Corporation and Toesca Infraestructura GV Fondo de Inversión, managed by Toesca S.A. Administradora General de Fondos.
- Inter-American Development Bank, Overseas Private Investment Corporation, International Finance Corporation, Itaú Corpbanca and its New York branch, BCI, Banco del Estado de Chile, DNB Bank and KfW-IPEX Bank, as part of the senior lender group, on the second financial restructuring of the 531MW Alto Maipo hydroelectric project in Chile, which involved the renegotiation and amendment of the terms and conditions of the current financing of the project, estimated at more than USD3 billion.
