Her practice focuses on corporate and commercial law, corporate governance, mergers and acquisitions, capital markets and general practice. She advises local and international clients on company acquisition and restructuring processes, joint ventures, design and support of corporate governance structures, debt and capital issuance, and public or private offering of securities in local and international markets. Additionally, she is a member of Carey's China Desk.

REPRESENTATIVE EXPERIENCE

Fresenius Kabi on its divestment of Laboratorio Sanderson, a manufacturing plant of injectable products and other liquid substances for medical applications in Chile, to Medifarma, a multinational pharmaceutical company from Peru.
Fondo de Inversión Privado Hammer and Larraín Vial on the sale of 100% of Construmart, a company specialized in the distribution and marketing of building materials, to Inversiones RTB.
Global Soluciones Financieras on the restructuring of its financial situation, by incorporating new investors through a capital increase of approx. USD19 million, the restructuring of its current debt consisting of a syndicated credit agreement and a bond offering, and through the obtention of additional financing for USD16 million approx.
Mountain Capital Partners, the largest ski resorts owner and manager of the southwest of the United States, on the acquisition of La Parva ski resort.
Ontario Teachers' Pension Plan Board (OTPP) on the purchase of Santa Cristina and Agrícola El Olmo, from Fondo de Inversión Privado Sembrador IV, in order to acquire its hazelnut plantations and water rights, among other assets.
Brookfield Infrastructure Partners on the sale of an indirect 33% stake in urban toll roads Autopista Vespucio Norte and Túnel San Cristóbal to infrastructure funds Ardian and CMB Prime and the subsequent sale of another 33% to infrastructure funds Ardian and CMB Prime.
DNB Bank New York Branch, as administrative and collateral agent acting on behalf of a syndicate of international banks, on the amendment of the outstanding credit facilities and several guarantees granted in Chile, to secure a refinancing to Cooke Aquaculture Inc. and Cooke Aquaculture USA for approx. USD616 million (CDN675 million and USD120 million).
Bimbo Group, a Mexican company, on the acquisition of Alimentos Nutrabien, a Chilean company producing sweet snacks, owned by CCU.
