REPRESENTATIVE EXPERIENCE
- Graham Partners, a private equity firm investing in technology-driven companies, through its US based subsidiary, OptConnect, on the acquisition of M2M Data Global, a Chilean company dedicated to wireless solutions, hardware and “machine to machine” connectivity, which operates in several Latin American countries.
- Echostar/Hughes on corporate, contractual and regulatory matters related to the provision of its satellite connectivity services in Chile.
- United States Olympic and Paralympic Committe on the aspects related to the participation of the USA in the Panamerican and Parapanamerican Games held in Chile in October and November 2023 in Chile.
- Werthein Group on the local aspects of the agreement for the acquisition of Vrio. Vrio is AT&T's entertainment business unit that operates the brands DirectTV Go, DirectTV Latin America and Sky Brazil, which altogether represent 10.3 million subscribers in 11 countries.
- Enel Chile on the bidding process to sell its corporate interest in Enel Transmisión Chile for USD1.35 billion. The advice also involved the negotiation of the respective stock purchase agreement and ancillary documents; and the sale of intercompany debts. The transaction is subject to several conditions precedent and to antitrust merger clearance.
- Cinven, a global private equity firm, on the acquisition of a 79% stake in Ufinet Latam, a fiber optic company jointly owned with Enel, a global utilities company based in Italy, for approx. USD1.4 billion. The transaction involved Enel exercising an option to acquire the controlling stake and then resell it back to Cinven through its Cinven Fund VII.
- Blanco y Negro on corporate, commercial, contractual, labor and other matters related to the operation and business of Colo-Colo. The advice considers the commercialization of digital advertising rights over its image and trademarks, including the sale of Non-Fungible Tokens (NFT), the negotiation of advertising and sponsorship agreements, including the issuance by the sponsors of NFT, players transfer agreements, content transmission contracts and its defense on sports regulation infringement proceedings.
- Enel on the reorganization of its companies held in Chile, including the merger of Enel Green Power Latin America, Chilean subsidiary of renewable energy, into Enel Chile, Chilean subsidiary holding conventional energy assets, together with a tender offer of the latter over Enel Generación Chile.
